To be valid, a licence agreement requires consideration (e.g., money or other value) to be passed between the licensor and the licensee. If there is no consideration being passed, then this document is not for you. You will need a Deed and should seek legal advice.
Be aware that this is a licence agreement and not an assignment agreement. A Licence agreement is a permission to use IP. It is used when you permit someone to use all or some of your IP rights under certain conditions. You maintain control and ownership of the IP and can provide others with access to your IP for a certain timeframe, location or purpose. An Assignment is a complete transfer of ownership, rights, and control of your IP to someone else.
